National Bank Holdings Corporation Announces Pricing of Initial Public Offering

DENVER--(BUSINESS WIRE)--National Bank Holdings Corporation (the “Company”) today announced the pricing of its initial public offering of 7,150,000 shares of Class A common stock at a price of $19.25 per share. National Bank Holdings’ Class A common stock is expected to begin trading on the New York Stock Exchange on September 20, 2012 under the ticker symbol “NBHC.”

All of the shares of common stock to be sold in the offering are being offered by the selling stockholders. In addition, the selling stockholders have granted the underwriters a 30-day option to purchase up to an additional 1,072,460 shares of common stock. The Company will not receive any proceeds from the sale of shares by the selling stockholders.

The joint book-running managers of the offering are Goldman, Sachs & Co., Keefe, Bruyette & Woods and FBR. Sandler O’Neill + Partners, L.P., Stephens Inc., Sterne Agee and Stifel Nicolaus Weisel are acting as co-managers for this offering.
