ROCKVILLE, Md.--()--Institutional Shareholder Services Inc. (ISS), a leading provider of corporate governance solutions to the global financial community, has launched a new, comprehensive Meeting Results Service, covering global meetings from January 1, 2013 forward.
“Investors want to understand the impact of their corporate governance and voting decisions in the broader context of final meeting results disclosed by companies”
"Investors want to understand the impact of their corporate governance and voting decisions in the broader context of final meeting results disclosed by companies,” said Marija Kramer, ISS’ Head of Product Management. “Investors face the challenge that differing regulatory requirements and market practices determine company meeting results disclosure across the globe. The data itself can be difficult and time-consuming to obtain. ISS’ Meeting Results Service addresses these challenges by leveraging its global operations infrastructure to collect comprehensive meeting results data in a timely manner.”
ISS delivers the data to clients directly through its ProxyExchangeTM voting platform for ease of use by investors. Key features of the ISS Meeting Results Service include experienced local data collection, global reporting and daily workflow management functionality. Meeting results are also available to subscribing Custodian Banks and/or their clients via SWIFT message through ISS’ Global Proxy Distribution service.
In 2013, the global service will cover over 40,000 companies across 100 markets, with data procured and databased at the resolution level. Basic data points include a pass/fail summary for each voting agenda item, an indicator of the level of results disclosed by the company plus a flag indicating non-disclosure by the company.
Additional data points include number of shares voted ‘with’ and ‘against’ management as well as abstain votes. The service also displays the percentage of shares voted ‘with’ management, ‘against’ management or abstained as compared to the number of shares voted at the meeting. The service also flags whether the meeting was conducted by poll, show of hands or proxy. The meeting results calculation method is detailed for each market. In the United States, the number and percentage of shares voted for ‘Say on Pay’ 1-, 2- and 3-Year frequencies is indicated.
Easy access to global meeting results is expected to help investors benchmark their proxy voting policies, integrate meeting results into their future voting decisions and workflows and incorporate final meeting results into their board and client level reporting .
